(Phoenix, AZ) – Gust Rosenfeld congratulates Christina M. Noyes, Chair of the Franchising Practice Group, on being the co-editor of the second edition of Mergers and Acquisition of Franchise Companies, published by the American Bar Association in 2014. She co-edited the book with Leonard D. Vines. This book contains an overview of mergers and acquisitions and franchise regulation, focusing on franchise-specific issues, and serves as a primer to both franchise practitioners as well as those who are not versed in the area.

This edition has been greatly expanded and includes entirely new chapters on negotiating the purchase and sale agreement, bankruptcy, valuation, and international issues. Other topics include practical problems associated with buying or selling a franchise company, due diligence in the acquisition of a franchising company, real estate and trademark considerations, and tax issues affecting mergers and acquisitions in franchising.

Christina Noyes who is a member of the Executive Committee of Gust Rosenfeld, speaks frequently on franchising at seminars and conferences and is the author of numerous articles on this subject. In 2013, she co-authored “Agreements and Issues Related to the Franchise Sales Process”, Collateral Issues in Franchising Beyond Registration and Disclosure, published by the ABA.

Christina focuses her practice on advising corporate clients on corporate, franchise, and intellectual property law issues, including drafting business agreements, forming entities, handling mergers and acquisitions; dealing with regulatory agencies; analyzing franchise and business opportunity laws; preparing and reviewing franchising agreements, disclosure documents and registrations; as well as handling federal and state trademark registrations and renewals. She represents both franchisees and franchisors and has been listed in the Franchise Law category of The Best Lawyers in America© since 2009. Her practice also includes forming limited liability companies and corporations, as well as advising on general corporate matters.

Christina M. Noyes is a graduate of Miami University (B.A., cum laude, Accounting, 1990) and Arizona State University College of Law (J.D. cum laude, 1996, managing editor, Arizona State University Law Journal). She is a member of the American Bar Association Forum on Franchising. In her time with the Forum on Franchising, she has served on the Women’s Caucus Steering Committee, the Technology Committee, and has chaired the community service event for the Women’s Caucus.
